1. What these terms cover

Use of the Proof Manager products — Revenue Protection, Kitchen Quality, Food Safety, Drive-Through, Loss Prevention and POS Manager — and the portal at portal.proofmanager.co. Where a signed order form or master agreement exists, that document governs and these terms fill the gaps.

2. Subscription and activation

The subscription is annual and priced per activated outlet. An outlet is activated when its cameras or POS are connected and the first record is produced, and billing runs from that date. A pilot outlet is billed on the same basis as any other.

Where camera hardware is needed it is a separate one-time charge, and the terms that apply to it are set in the order form.

3. What we provide

A record of each order, check or exception, kept for the retention period agreed in the order form.
Alerts to the recipients the customer nominates.
The portal, and the connectors the customer has subscribed to.
A site survey before activation.
A named account manager, where the agreement provides for one.

4. What we do not provide

Proof Manager produces evidence. It does not submit disputes to delivery platforms on the customer’s behalf, and it does not guarantee that any claim will be recovered. Recovery depends on each platform’s own process and on the customer filing the claim.

The product does not replace the customer’s own supervision, food safety compliance, or employment procedures.

5. What the customer provides

Read-only access to the branch recorder, and a working network at the branch.
Notice to staff that process cameras are in use, where that is required.
Keeping nominated alert recipients current.
Using the output lawfully, and not as the sole basis for a disciplinary decision.

6. Data and confidentiality

The customer owns its branch data. We process it as a processor, under the Privacy Policy and the data processing terms in the order form. Each side keeps the other’s commercial information confidential.

7. Support and availability

Support hours, response targets and the route for an outlet that is down are set in the order form, because they differ between groups. Planned maintenance is notified in advance.

No uptime figure is committed in these terms. Where a service level is agreed, it is stated in the order form.

8. Fees, term and termination

Invoices are payable on the schedule set in the order form. The term renews annually unless either side gives notice before the renewal date; the notice period is the one stated in the order form.

On termination the customer may export its records during the period stated in the order form, after which they are deleted.

9. Liability

Each side’s liability to the other is as set out in the signed agreement between them. Nothing agreed can limit liability that cannot be limited under the laws of the Kingdom.

10. Governing law

These terms are governed by the laws of the Kingdom of Saudi Arabia, and disputes are resolved in the forum named in the signed agreement.
